OFFICIAL RULES
I. NAME OF SPONSORS(S)
LIVE with Regis and Kelly (“LIVE”) and American Broadcasting Companies, Inc., licensee of WABC-TV (Hereinafter collectively referred to as “Sponsor”).
II. ELIGIBILITY
To enter LIVE’S $100 Grand Theme Song Search (“Search” or “Contest”), entrants must be legal residents of the 50 United States, District of Columbia or Canada (excluding Quebec). If a minor, parental consent is required. Winner must be available to travel to New York City on or about the week of December 15, 2008.
Additional entries may be immediately disqualified.
Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Sponsor, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the search or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or play. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.
III. HOW AND WHEN TO ENTER
NO PURCHASE NECESSARY.
Live is going Hi-Def in January and we need a new theme song to go along with our new opening! We’re giving YOU a chance to be the one to record your original music. All entries, in their entirety, must be received on or before December 5th, 2008, regardless of method of entry.
Log on to LIVEREGISANDKELLY.com and follow the links to the contest page. Entrants will be able to download the new, hi-def show intro video to use as a guide when composing their entry. When submitting an entry DO NOT include the video as part of your entry, submit only an audio file; lyrics should not be part of your entry.
Compose approximately 1 minute of continuous music that begins with a vibrant, upbeat tempo that works with the video supplied as a demonstration. Submissions over 1:30 may be disqualified.
You should write your music entry with the following instructions as your guide. One of the main uses of our theme song is to be played over the opening sequence of the show. The example of the show’s new opening sequence provided online is downloadable and for reference only. The LIVE open has two distinctive parts which are described below. Entrants should try and compose their music entries to work within the described framework of these two parts as much as possible.
LIVE open Part 1
Part 1 varies in length everyday. Part 1 should begin with a recognizable sound or melody that plays over the opening show logo and continues throughout the “tease” promoting the guests for that day’s show. After the logo settles on the screen, the music then plays as a “bed/mix” (music background) with live audience applause and a live announcer reading over. Part 1 continues until the announcer says: “All next on Live.” Part 1 is roughly 25 seconds. LIVE open Part 2 At the beginning of Part 2, we re-start the music from the beginning of the song. This part of the open is the same length everyday – 17 seconds. Part 2 begins with the video of the Empire State Building. In addition to music, there is also live applause over the video. At the end of the video, the announcer says: “Now, here are Regis Philbin and Kelly Ripa.” The hosts are then seen walking into studio. We will begin to fade the music out as the hosts walk into the studio. Limit one entry (registration and audio file) per person and/or e-mail address. Multiple entries may result in the disqualification of additional entries. No joint, team, band or ensemble entries; a single individual must be identified as the entrant submitting an audio file. To submit your entry via US Mail: Please print out and enclose with your entry CD containing the audio file the Mail-in Submission Form. Complete the Mail-in Submission Form in its entirety, including First and Last Name, City, State/Province, Daytime telephone number, Mobile telephone number, Email address and initials and signature(s) where required. Entries received with incomplete Mail-in Submission Forms may be immediately disqualified. Any additional information or materials submitted, but not otherwise requested or required, with your mail in entry will not be considered and may be discarded or destroyed.
To submit your entry online:
Visit the on-line entry page and complete the entry form, submitting all requested information including: name, address, home and mobile telephone numbers (as available) and e-mail address. At the on-line submission page you will receive further information on acceptable file format. Following the online instructions, attach your audio file. MP3 audio files must be no longer that 1:30 in duration and no larger than 1.9MB.
LIVE can provide no technical support and accepts no responsibility for insuring the receipt of your submission. If you experience any difficulties trying to submit your entry via the on-line method, we recommend that you follow the instructions outlined above and submit your entry via the mail-in method.
Regardless of method of entry: (a) entries may not have lyrics, entries with lyrics may be immediately disqualified from further consideration; (b) an audio file must be submitted to be considered; (c) audio submissions must not exceed 1:30 (one minute thirty seconds) in length, only 1:30 of any entry will be considered the full entry and, at the sole discretion of the judges, is the only portion that may be reviewed and judged; (d) entries, including but not limited to audio files, may not be modified by entrant after submission and will not be returned or acknowledged; (e) entries that in Sponsor’s sole discretion do not respect copyright will be disqualified, only original music will be considered, no sampling or third party materials allowed; (f) Terms of Use must be accepted.
In order to register and enter on-line, entrants may need to certify that they are 18 years of age or older. If entrant is a minor, they can have their entry submitted by their parent on their behalf or may decide to enter via the mail-in method of entry.
Entries remain the property of Sponsor and will not be returned or acknowledged.
Sponsor is not responsible for entries that may be lost, stolen, late, illegible, incomplete, damaged, mutilated, misdirected, altered, tampered with, or postage-due. Sponsor is not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the search is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the search, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the search. No responsibility is assumed for: any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone/cable network or lines, computer online systems, servers, providers, computer equipment, or software; or failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this search. In the event of a dispute over an electronic entry, prize will be awarded to the owner of the e-mail account, not the name on the entry form.

IV. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED
There will be one (1) Grand Prize Winner. Entries will be judged, by a panel selected at the sole discretion of LIVE, based on the following criteria: (a) potential for on-air appeal; (b) show and time period appropriateness; and (c) compatibility with video intro. In the event of a tie, the winner will be selected based on the highest score received in criteria (a), then (b), then (c). If the winner is deemed ineligible, fails to comply with contest procedures, or is not available to claim prize as specified by Sponsor the prize will be awarded to the next highest scoring entry.
Winner will be notified on air and by either phone call or e-mail. Response to winner notification must be received by Sponsor within three (3) business days or the prize will be forfeited and may be awarded to the next highest scoring entry. In the event insufficient entries are received in response to this contest, the Sponsor, in its sole discretion, reserves the right to cancel, terminate or otherwise modify this contest and no prize may be awarded.
V. PRIZE(S)
One (1) Grand Prize Winner will receive: (a) $100,000; (b) have a chance to meet with an agent from the William Morris Agency; and (c) a sit down with legendary hit maker, LA Reid, of Island Def Jam Music Group; (d) travel for winner which includes the following: (i) roundtrip coach class airfare from an airport near winner’s home and a New York City area airport; (ii) hotel accommodations (one room) in a hotel of Sponsor’s choosing for the duration of the stay in New York city, duration of stay to be determined at the sole discretion of the Sponsors; (iii) ground transportation between NYC airport and hotel and/or studios and/or meetings.
If Grand Prize Winner lives within an approximately 150 mile radius of New York, NY (as determined by Sponsors in their sole discretion), he/she will receive, in lieu of applicable segment of air transportation component of prize, round-trip local transportation between winner’s residence and New York City and winner will receive no compensation for such substitution. Some restrictions apply.
Approximate Retail Value: $103,000 (final actual value at time of booking and travel may be substantially more or less depending on dates of travel, length of stay, point of origin and ticket availability).
All expenses not specifically provided for herein are the winner’s sole responsibility. Some restrictions may apply. Federal, state and local taxes are the sole responsibility of the winner, who will receive an IRS Form 1099 reflecting the final actual value of the prize. Winner is not entitled to exchange or transfer prizes or to obtain cash or other substitutes, but Sponsor in its sole discretion may substitute prizes of equal or greater value.
If won by a minor, prize will be awarded in parent’s or guardian’s name.
Meeting portions of the prize are subject to availability. Sponsor is not responsible for cancellation or preemption of any meeting or for other circumstances that make it impractical or impossible to fulfill these elements of the prize. Meeting elements of the prize have no approximate retail value, and if it becomes impractical or impossible to fulfill either or both of these elements, Sponsor’s only obligation will be to provide the remainder of prize.
All travel is at the sole discretion of the Sponsor and Winner must comply with any restrictions or other factors and appear as requested at the sole discretion of the Sponsor, or entire entry may be disqualified and an alternate winner may be selected, time permitting. Grand Prize Winner agrees to travel for and participate in New York trip segment of the prize on or about the week of December 15, 2008.; however dates could change and are determined by Sponsors in their sole discretion. Any modifications to the winner’s travel itinerary will be at the Sponsor’s sole discretion.
VI. RELEASES
By submitting contest materials, including but not limited to music, recordings, photographs and/or biographical information (“Materials”), entrants certify that the Materials are original with Artist (and not based on or derived from any other materials) and that entrants are not subject to any music publishing agreement, recording agreement, production agreement, union or guild agreement, or any similar agreement which would interfere with entrants ability to enter into this Contest or grant the Program all rights to the Materials. Entrants also certify that they have all necessary rights, permission and authority to submit the Materials, and that no third-parties have a valid claim or interest in the Materials.
By submitting their contest materials, entrants agree that the Program shall be free to use the Materials as it sees fit without any fees or payments to entrants, and in any and all media and formats whether now known or hereafter devised, including as the theme to the Program and in advertisements and promotions for the Program, ABC or any related programming, and by license or otherwise to third parties. The Program and its licensees shall have the right to alter, arrange, adapt, modify, translate, prepare derivative works and otherwise change the Materials (including the submitted music/recording) as they see fit without permission from or payment to entrants.
Further details, representations and obligations regarding entrants rights to the Materials, including that the winning music/recording will be considered a “work for hire” for the Program granting the program all right, title and interests (including copyright) in the music/recording, are described in further detail in a release the winner must sign and return to the Program in order to claim the Prize.
By participating, entrants agree to be bound by these official rules and the decisions of the Sponsor/Judges and the contest administrator, which shall be final in all respects.
By participating in this contest and/or accepting any prize that they may win, entrants agree to release LIVE with Regis and Kelly (“LIVE”) and American Broadcasting Companies, Inc., licensee of WABC-TV, their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this contest and/or acceptance or use of the prize.
Entrants authorize the Released Parties to use their name, voice, likeness, biographical data and city and state of residence in programming or promotional material, in any media now known or hereafter created or conceived, worldwide in perpetuity, or on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.
Entrants acknowledge that entry materials may be discussed in a broadcast, that such discussion may include statements or opinions by the broadcast talent or others about the entrant, the entrant’s appearances and/or the materials, and that those statements and opinions may be considered surprising, humiliating, embarrassing, derogatory, defamatory or otherwise offensive or injurious to them, Sponsor’s employees, its studio or at-home audience and/or other third parties. Entrants release the Released Parties from any actions, claims, injury, loss or damage allegedly caused, directly or indirectly, by any such statements or opinions made during a broadcast. Any Entrant (or Winner) whose behavior, at any point in this contest, may be considered offensive, threatening or otherwise dangerous to the Sponsors, judges or other related parties may be immediately disqualified from further consideration or immediately removed from further participation in this contest.
To claim prize winner may be required to: (a) provide proof of winner’s age, residency, and legal status; and (b) sign and return eligibility, publicity, liability and any other releases requested by Sponsor; all within the time period(s) specified by Sponsor.
VII. MISCELLANEOUS; WINNERS’ LIST
Void where prohibited. All federal, state and local laws and regulations apply.
Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned.
Winner will be announced on air and/or posted on LIVE’s website on or about January 5, 2009.
