NAME OF SPONSOR(S): LIVE with Regis and Kelly, 7 Lincoln Square, New York, New York 10023 ("LIVE"); American Broadcasting Companies, Inc., 77 West 66th Street, 16th Floor, New York, New York 10023 ("ABC") (Hereinafter collectively referred to as "Sponsor"). II. ELIGIBILITY: Entrants must be 18 years old as of May 23, 2008 and legal resident of the 50 U.S., D.C. or Canada, with the exception of Guam, Puerto Rico and all other U.S. territories and possessions and the Province of Quebec, Canada and where prohibited by law. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for LIVE with Regis and Kelly, American Broadcasting Companies, Inc., Buena Vista Television, Fire Magic, Robert H. Peterson Co., any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the contest or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to nominate or be nominated. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year. III. HOW AND WHEN TO ENTER: NO PURCHASE NECESSARY. By logging in to rate the recipe each week, viewers are given an opportunity to enter into a sweepstakes to win a grill by random drawing. That random drawing will be done on Thursday, August 14th. Sponsor may or may not draw and/or announce the winner's name on air. Enter by logging on to our Web site at: www.liveregisandkelly.com. There you will find instructions on how to enter your rating for each week's "Grilling with the Stars" recipe as well as how you can enter your name into the drawing to win the grill. By successfully selecting the "enter the chance to win" option on the website you will automatically be entered into the Giveaway Sweepstakes. You can enter once each week by submitting a rating for each week's recipe and then separately selecting the "enter for the chance to win" option. Registration is required to rate and vote. Rating submissions and entry submissions are separate. When you rate the recipe you will be given an opportunity to enter the drawing (only once per week). Rating capability will be open each week there is a Grilling with the Stars segment, starting May 23, 2008, from Friday (the day the segment airs) to Tuesday at 11:59pm EST each week. The last cooking segment will air on August 8th. The final rating date will be Tuesday August 12th 11:59pm EST. Sponsor will tabulate the ratings for each celebrity griller and announce the top five celebrity recipes on the show on Wednesday morning, August 13th. On that Wednesday morning, August 13th, Sponsor will ask viewers to go online and vote for their favorite recipe of the 5 top rated recipes. That voting can only be done online until Wednesday at 11:59pm EST. (Sponsor will announce the Celebrity Winner of the "Grilling with the Stars" trophy on or around Friday August 15th.) When voting for this final favorite recipe you will again be given the opportunity to select the "enter the chance to win" option one time, and in turn be entered into the Giveway Sweepstakes. LIVE can provide no technical support and accepts no responsibility for insuring the receipt or successful submission of your registration and/or rating and voting. Entries remain the property of Sponsor and will not be returned or acknowledged. One entry per nominee per week will be considered for further participation. Sponsor is not responsible for entries not received. Sponsor is not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the contest, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from participation in or downloading any materials from this contest. Odds of winning will depend on the number of entries received. IV. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED The winner will be selected by a random drawing from the entries. The winner of the grill will be notified by telephone on Thursday August 14th, 2008 . If contact with the winner is not made within one week (7 days) the winner will be disqualified and an alternate will be selected. Failure to timely comply with any requirement of these terms and conditions will result in the winning entrant being deemed ineligible for any prize. V. PRIZE(S) One (1) Winner will receive a Fire Magic Aurora A540 Grill, with an approximate retail value of $4,967.00 Federal, state and local taxes are the sole responsibility of the winner, who will receive an IRS Form 1099 reflecting the final actual value of any prize valued at $600 or more. Consult with your personal tax advisor for any potential tax implications this prize may have for you. Winners are not entitled to exchange or transfer prizes or to obtain cash or other substitutes, but Sponsor in its sole discretion may substitute prizes of equal or greater value. All expenses not specifically provided for herein are the winner's sole responsibility. Some restrictions may apply. VI. RELEASES: By participating, entrants agree to be bound by these official rules and the decisions of the Sponsor / Judges and the contest administrator, which shall be final in all respects. By participating in this contest and accepting any prize that they may win, entrants agree to release LIVE with Regis and Kelly, American Broadcasting Companies, Inc., Fire Magic, Robert H. Peterson Co., , their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this contest and/or acceptance or use of the prize. Entrants authorize the Released Parties to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, worldwide in perpetuity, or on a winner's list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without further obligation or compensation. To claim prize winner must: (a) provide proof of age, identity and residency; (b) sign and return affidavit of eligibility/compliance with rules, publicity/liability release and indemnification; and (c) finalize any other documentation requested by Sponsors. VII. MISCELLANEOUS; WINNERS' LIST: Void where prohibited or restricted by law. All federal, state and local laws and regulations apply. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned.
