<< BACK OFFICIAL RULES NO PURCHASE NECESSARY. VOID IN GUAM, PUERTO RICO AND ALL OTHER U.S. TERRITORIES AND POSSESSIONS AND THE PROVINCE OF QUEBEC, CANADA AND WHERE PROHIBITED BY LAW 1. Contest Description. The Live's Cash Dance Trivia Contest (“Contest”) is a skill-based contest eligible participants may enter by submitting a video of themselves (See “How To Enter Below”), online or by mail, showing the entrant dancing to one of Live’s Cash Dance segment music selections. Entrants will compete for an opportunity to be chosen to play “Live’s Trivia Game” for a chance to win a Trivia Game cash prize and have his/her video broadcast during the broadcast period from September 3, 2008 to September 30, 2008 (“Trivia Game Broadcast Period”). Participants will also have a chance to be one of the ten (10) semi-finalists whose video may be uploaded on the internet for viewer public voting on October 1, 2008. The five (5) finalists who receive the most votes in the public voting must be available to travel to compete “live” on Live with Regis and Kelly (“Show”) in New York City on or about October 6, 2008 for a chance to perform their dance for a chance to win the “Dance Your Heart Out” $50,000 grand prize. 2. Eligibility: The Contest is only open to permanent legal residents of the 50 states of the U.S., Washington D.C. (excluding Guam, Puerto Rico, and all other U.S. territories and possessions) or permanent legal residents of Canada (excluding the province of Quebec) who are physically located therein and who are 18 years of age or older as of the date of their entry. Entrants must have a valid social security number, social insurance number and/or a valid U.S. personal tax identification number. Professional actors, dancers or performers who are members of any professional performing unions or guilds are NOT eligible. Employees of Buena Vista Television (“Sponsor”), WABC-TV, American Broadcasting Company, Inc., Live With Regis and Kelly (“Show”), The Quaker Oats Company Contest administrator, their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Contest, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, affiliates, service providers, prize suppliers, and any other person or entity associated with the Contest (collectively “Contest Entities”) and/or members of the immediate family (spouses, children, siblings, parents) of such persons, and/or persons living in the same household as such persons, whether or not related, are ineligible to enter the Contest. In order to be considered an eligible entrant in this Contest, the same one person must be the person who completes and submits his/her own entry information, must be the account holder of the email address provided as part of his/her online entry (defined below), must be the only person who appears as “the dancer” in the video, and must be the person who submits/uploads/and/or mails his/her entry information and video, and must not be a professional dancer or performer (“Entrant”). 3. How to Enter: The Contest entry period begins on August 15, 2008 at 10:01 a.m. Eastern Time (“ET”) and ends at 3:00 p.m. ET on September 26, 2008 (“Contest Period”). Eastern Time shall control for all purposes of this Contest. Sponsor’s computer is the official time clock of the Contest. Participants must create one (1) original video of himself/herself dancing for up to thirty seconds (:30) in length (“Video”). Entrant must dance to one of the one of the five (5) music selections available on the Web Site for the purposes of this Contest. The Video cannot include any person other than the Entrant or any other music. If Video exceeds thirty (30) seconds, then only the first thirty (30) seconds will be judged. For additional details, see Section 3(c) below. a) To enter and submit a Video online: Starting on August 15, 2008, access the Contest web site at http://www.liveregisandkelly.com (“Web Site”) and select the Contest icon, which will open the Contest entry page. Participants who have previously registered on the www.liveregisandkelly.com Web Site or who have already registered with one of Disney’s Family of Sites (Disney.com, ABC.com, ABCNEWS.com, ESPN.com, FamilyFun.com, regisandkelly.go.com and Movies.com), must first login by entering his/her member name, password and then follow the online instructions to “submit” his/ her entry information, agree to the Sponsor’s Terms of Use, and upload his/her video (“Online Entry”). Video(s) must be in one of the following formats to upload online and must not exceed 100 MB: 3GP; .AVI; .DV; H.264; .MPEG2; .MPEG4; Quicktime; and .WMV. Participants who are not already registered on the Web Site, may become a registered member by completing (and thereafter transmitting) the registration form. Information requested on the registration form consists of the following: first and last name, complete home address (including street address, city, state/province and ZIP/postal code), date of birth, gender and email address (“Registration Information”). There is no fee to register. b) To enter and submit a Video by mail: Starting on August 15, 2008, Entrant must legibly hand-print his/her first and last name, complete home address (including street address, city, state/province and ZIP/postal code), date of birth, and one (1) telephone number (including area code) where he/she can be reached during the Trivia Game Broadcast Period on a postcard (no larger than 6” x 8”) and mail, along with his/her Video submission with proper postage affixed to: Live's Cash Dance Trivia Contest, Ansonia Station, P.O. Box 234071, New York, NY 10023-9402 (“Mail Entry”). A Mail Entry Video must be in one of the following formats: VHS; VHS-C; DVD; DVcam; MiniDV. c) Additional Entry details: For an Online or Mail Entry Video to be considered eligible in this Contest, it must meet the following requirements. The Video: (1) must be at least ten (10) seconds but not more than thirty (30) seconds in length (if longer than 30 seconds), only the first 30 seconds will be judged); (2) must be Entrant’s original creation, who maintains he/she is the sole owner of said Video and that his/her Video has never been previously published, previously entered in any competition or contest or won any award prior, and/or performed or otherwise exhibited; (3) must be responsive to the judging criteria as outline in section 4 below; (4) (4) Must use one of the five (5) music selections available on the Web Site or Sponsor may replace Entrant’s music if selected for broadcast or Web Site, and overlay one of the five (5) approved music selections (chosen at Sponsor’s sole discretion) without any notice, permission or consultation with Entrant; (5) must not contain the name, likeness or voice of any person other than the Entrant, and must not refer to any real person other than the Entrant; (6) must not contain or depict any objectionable, unlawful, defamatory, obscene, sexually explicit, threatening, abusive, harassing, hateful, discriminatory, threatening, vulgar, racially or ethnically-motivated material, or material that is invasive of another’s privacy, or any other objectionable material or gesture or material that is otherwise unfit for publication/posting/uploading, as determined by Sponsor in its sole and absolute discretion; (7) must not violate or infringe any copyright, trademark, privacy, publicity or other proprietary right of any person or entity and must not contain, or otherwise make available any materials (images, sounds, music, trademarks, logos, etc.) that infringe upon any personal, proprietary or any other right of any third party; (8) must not contain the last name, phone number(s), address, or email address of any person, including the Entrant; (9) must not contain any visual or audio references to alcoholic beverages, tobacco, drug paraphernalia, firearms, or any depiction or representation thereof; (10) must not contain or otherwise make available any unsolicited or unauthorized advertising, “commercial pitch,” promotional materials, junk mail, spam, pyramid schemes, or any other form of solicitation; (11) must not contain or transmit any materials that contain software viruses or other computer code, files or programs designed to impair, limit, interfere with or cause harm to any communications network operated by any of the Contest Entities or the computers, of any individual or entity participating in or otherwise associated with this Contest; and (12) must not contain any material that: (a) would give or threaten to give rise to criminal or civil liability; (b) encourages conduct that constitutes a criminal offense; or (c) encourages or provides instructional information about illegal activities; (13) and by entering, each Entrant agrees to all terms and conditions set forth in these Contest Official Rules (collectively “Entry Information”). Online and Mail entries must be received by 3:00 p.m. ET on September 26, 2008 (collectively “Entries”). Limit one Entry per person/Entrant during the entire Contest Period. If more than one Entry is submitted, only the Entry received first will be judged and any other Entry will be disqualified. Entries in excess of the stated limits by the same person will be disqualified. All required Entry Information must be completed in full. Proof of delivery or receipt of any kind of submission (or portion thereof) will not be deemed by Sponsor as proof of submission of an Entry. Entrant agrees and represents that, prior to his her Entry in this Contest, he/she had all the tools necessary to produce his/her Video (and did not purchase them for purposes of entering into the Contest). If an Entrant is a resident of a jurisdiction that deems him/her to be a minor (residents of Alabama or Nebraska between 18-19 years of age or residents of Pennsylvania or Mississippi who are between 18-21 years of age), he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Participants can only register and participate in the Contest under one user ID and/or one email address for Online Entries. Once an email address or a user ID has been registered by a participant, that email address or user ID may not be used by any other person at the Web Site. Only the Entrant registered under a particular email address with the Web Site may participate in the Contest. Multiple Entries by the same person in excess of the limits stated herein will be disqualified. Proof of delivery or receipt of Entries will not be deemed by Sponsor as proof of Entry. Any attempted form of Entry other than as described herein is void. Each Entry will be judged on the criteria set forth in Section 4 (below). Submissions that are not reasonably pertinent to the judging criteria (described below), as determined by Sponsor and/or judges in their sole discretion, or are otherwise in violation of these Official Rules, will be disqualified. No Entry by a group or organization will be considered. For Entrant’s Entry to be valid and in order for his/her Entry to be considered, each Entrant must acknowledge reading, accepting, and agreeing to all terms and conditions set forth in these Contest Official Rules, and must complete any and all documentation required (as described below), if requested, in order to participate as a trivia contestant, semi-finalist for online voting or a finalist to travel, compete and appear on the Show. All Entry Information and material submitted by an Entrant is subject to Sponsor’s Terms of Use located at http://disney.go.com/corporate/legal/terms.html. By entering the Contest, each Entrant (if a minor, parent/ legal guardian on his/her behalf) represents and warrants that he/she is not subject to any agreement or arrangement, including without limitation, any dance and/ or performance or any similar other agreement that would interfere with him/her entering this Contest and assigning all the rights assigned hereunder. ENTRY INTO THE CONTEST REQUIRES A VIDEO. ANY ATTEMPT TO ENTER THE CONTEST BY FILLING OUT THE ONLINE ENTRY FORM OR MAIL IN POST CARD WITHOUT ALSO UPLOADING/POSTING /MAILING A VIDEO WILL NOT RESULT IN A PROPER ENTRY INTO THE CONTEST. 4. Judging and Viewer Public Voting: This Contest consists of four (4) stages (in order): 1) Trivia Contestant Judging; 2) Semi-Finalist Judging; 3) Viewer Public Voting and (4) the “Dance Your Heart Out” competition on the Live with Regis and Kelly Show. Judges have the right, in their sole discretion, to select fewer than the number of participants (stated below) or winners (or no winners at all) based on insufficient number or quality of potential Entries received. a) Trivia Contestant Judging: Commencing on or about August 16, 2008 and continuing to on or about September 26, 2008, eligible Entries will be judged as they are received by a panel of judges from the Show (“Show Judges.”) Show Judges will determine the five (5) highest scoring potential Trivia Contestants (and up to ten (10) alternates) per week for a maximum of twenty (20) Trivia Contestants who will participate during the Trivia Game Broadcast Period. Entries will be judged and assigned in a call order the week prior to the applicable broadcasts. Each Entrant’s Video will be judged based on the following criteria below (collectively “Judging Criteria”): 1) Overall Impact and Entertainment Value (1-100 points) 2) Enthusiasm and Sense of Fun (1-100 points) 3) Presentation and Execution (1-100 points) The Judges will score each Video on the “Overall Impact and Entertainment Value” criteria first. Each Video must score fifty-points (50) or more in order for it to be eligible to be scored in the next two (2) categories. A Video that scores between one (1) and forty-nine (49) will not be eligible to move forward. Once a Video receives a score in the “Overall Impact and Entertainment Value” criteria of fifty (50) points or more, the judges will then score each additional category. The score of each of the three (3) criteria above will be added together to create a total score (maximum of three hundred (300) points) (“Total Score”). The five (5) highest scoring Entries (plus up to ten (10) alternates) judged and selected by the Friday prior to the applicable broadcast week during that week, will be arranged in the Call Order for that week’s Trivia Game (subject to compliance with these Contest Official Rules). In the event of a Video score tie, ties will be broken first by reference to the highest score in the “Overall Impact and Entertainment Value” criteria. In the event that fails to resolve all tie situations, any remaining ties will be resolved by reference to the highest score in the “Enthusiasm and Sense of Fun” criteria. In the event that fails to resolve all tie situations, any remaining ties will be resolved by reference to the highest score in the “Presentation and Execution” criteria. In the event a tie situation still exists at that point, Show Judges will re-score the tied Entries using the judging criteria until ties are broken and the applicable number of potential Trivia Contestants is determined for that week. b) Semi-Finalist Judging: On or about September 30, 2008, the final judging of all eligible Videos received will be conducted by the Show Judges who will select the top ten (10) highest Total Scores and deem those Entrants potential semi-finalists eligible (subject to verification of eligibility and submission of documentation as required in Section 6) to participate in the online viewer public voting competition (“Semi-Finalists”). In the event of a tie, Show Judges will break any ties using the judging criteria and tie-breaking procedure described in 4a (above) until the tie is broken and the applicable number of potential Semi-Finalists is determined. Participation as a Trivia Contestant and/or inclusion of Entrant’s Video on the Web Sites online gallery does not advantage an Entry or score, nor does it exclude any Entry from further participation. c) Viewer Public Voting: Starting on or about 9:01 a.m. (ET) to 11:59 p.m. (ET) on October 1, 2008 (“Voting Period”), viewers can log on to the Web Site and select the Contest voting icon, which will open the Contest voting page. The viewer(s) will select the Video that he/she thinks is the best dance based on the Judging Criteria stated above in Section 4a. Registered participants must first login by entering his/her member name and password, then follow the online instructions to view all ten (10) Semi-Finalist videos and cast his/her vote. Viewers who are not registered on the Web Site, may become a registered member by completing (and thereafter transmitting) the registration form. Information requested on the registration form consists of the following: first and last name, complete home address (including street address, city, state and zip code), date of birth, gender and email address (“Registration Information”). If a viewer is already registered with one of Disney’s Family of Sites (Disney.com, ABC.com, ABCNEWS.com, ESPN.com, FamilyFun.com, regisandkelly.go.com and Movies.com), no new registration is required. There is no fee to register. To be eligible to vote, viewers must be a permanent legal resident of one of the 50 states of the U.S., Washington D.C. (excluding Guam, Puerto Rico, and all other U.S. territories and possessions) or permanent legal resident of Canada (excluding the province of Quebec) who are physically located therein and who are 18 years of age or older as of October 1, 2008. If a viewer is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Limit one vote per Voter/email address for the entire Voting Period. All votes must be received by 11:59 p.m. ET on October 1, 2008 to be counted. Any attempted form of voting other than as described herein shall be null and void. The five (5) Videos that receive the highest number of votes, will be declared potential finalists (“Finalists”), subject to his/her ability to travel on or about October 4, 2008 to October 7, 2008 and the completion of all documentation as described below. In the event of a tie, the Show Judges will use the tie-breaking procedure described in Section 4a (above) until the applicable number of potential Finalists is determined. d) “Dance Your Heart Out” Competition: On or about October 2, 2008, the Entrants who have submitted the top five (5) videos which received the most votes will be announced as the potential Finalists to compete in the “Dance Your Heart Out” competition on the Live with Regis and Kelly Show. Each potential Finalist will be contacted by a Show representative who will arrange travel, as required, in order to attend the “Dance Your Heart Out” competition in New York City. Each potential Finalist must be available to travel on or about or about October 4, 2008 through on or about October 7, 2008 (or on other dates and times specified by sponsor at its sole discretion), or potential Finalist will be disqualified and the next Semi Finalist Entry which received the next highest number of votes may be selected at Sponsor’s sole discretion. FINALISTS MUST COMPETE ON THE DATE/TIME SPONSOR HAS DESIGNATED FOR THE TAPING OF THE SHOW WHICH IS CURRENTLY SCHEDULED FOR OCTOBER 6, 2008. If a Finalist is a resident of a jurisdiction that deems him/her to be a minor (residents of Alabama or Nebraska between 18-19 years of age or residents of Pennsylvania or Mississippi who are between 18-21 years of age), he/she must be accompanied by his/her parent/legal guardian. The Show’s representative will provide to the Finalists the specific dates, times and location regarding the taping of the Show and provide him/her with all other specific instructions. Finalists will be required to dance on the broadcast as instructed by the Sponsor and be judged by the Show’s designated judges (“Dance Your Heart Out Judges”). Finalists agree to all the production requirements, dress code and conditions in the Sponsors sole discretion. “Dance Your Heart Out” Judges will view the ‘live’ dance of each Finalist and submit his/her score based on the Judging Criteria as described above in Section 4a. The highest scoring Finalist will be deemed the “Dance Your Heart Out” grand prize winner which will be announced that day on the Show. In the event of a tie, “Dance Your Heart Out” Judges will break any ties using the judging criteria and tie-breaking procedure described in 4a (above) until the tie is broken and the “Dance Your Heart Out” grand prize winner is determined. 5. Trivia Game Contestant Notification and Requirements: Every day during the Trivia Game Broadcast Period the five (5) highest scoring Entries (judged on the criteria defined above) received during that week (plus up to ten (10) alternates) will be selected and numbered chronologically off-camera (“Call Order”). Prior to each weekday that the “Trivia Game” is played, beginning on or about September 3, 2008, through the last “live” or “taped” broadcast of Live with Regis and Kelly airing on or about September 30, 2008 a representative of the Show will call one (1) selected contestant prior to the taping of Show according to the numerical order in which his/her Entry was scored (highest to lowest). The potential trivia contestant will be called at the telephone number furnished by his/her Entry and notified that he/she is a potential trivia contestant, that his/her Video or a portion thereof may be broadcast. Potential trivia contestants must complete the Sponsor’s publicity and materials release (“Publicity and Materials Release”) and fax to Show’s representative prior to his/her participation, and agree to be available on the date and time to participate in that day’s Show broadcast and/or taping (“Trivia Contestant”). Failure to fax the Publicity and Materials Release on the date and time requested; failure to answer the telephone; and failure to be available prior to the taping of the designated Show, will forfeit that Entrant’s chance to play the Trivia Game that day. The Show’s representative will call the next highest scored Entrant (and so on) until one (1) Trivia Contestant is secured to participate for that day’s Trivia Game. If the one (1) telephone number listed is a cell phone, potential Trivia Contestant will be required, when the Show representative calls, to provide a land-line telephone number at which he/she can be reached on the designated weekday within the time period specified by the Sponsor in its sole discretion in order to participate in the Trivia Game. Failure to immediately supply such a landline telephone number will result in potential Trivia Contestant’s disqualification in the Trivia Game. If any call to a potential Trivia Contestant results in five (5) unanswered rings, a busy signal or an answering machine response, the Show’s representative will call again one (1) additional time. If the second call again results in five (5) unanswered rings, a busy signal or an answering machine response, the Entry of that potential Trivia Contestant will be returned to the pool of highest scoring Entries for another opportunity to be potential Trivia Contestant on another day (if available and at Sponsor’s sole discretion subject to his/her applicable Total Score) and to be considered for the online viewer voting phase as described above in Section 4c. If the call is answered before five (5) rings and potential Trivia Contestant comes to the telephone within approximately 20 seconds (and if potential Trivia Contestant is available to attempt, during Show’s broadcast (or taping) to answer that day’s trivia question), then Trivia Contestant will be given the opportunity to answer that day’s trivia question about a previous Show’s broadcast. Trivia Contestant will be given twenty (20) seconds from the time the trivia question is asked to respond with an answer. Trivia Contestant will be given only one (1) attempt to answer the trivia question. If a call is placed to Trivia Contestant and, after the call is answered, the call is disconnected or technical difficulties are experienced during the call, the Show will make one (1) attempt to call the Trivia Contestant back. If the Show is unable to reach Trivia Contestant by telephone that Entry will be returned to the Entry pool and an alternate Trivia Contestant (in order of scores) may be called until one (1) Trivia Contestant is reached and complies with all requirements. The Show will speak on-air with a maximum of only one (1) Trivia Contestant on each day of the Contest and may or may not air Trivia Contestant’s Video or upload it to the Web Site video gallery. If Trivia Contestant correctly answers the trivia question in the allotted time, he or she will be awarded that day’s Trivia Game cash prize. If Trivia Contestant does not correctly answer the trivia question, that day’s cash prize will not be awarded to him/her but he/she will still have the opportunity to be judged for the online viewer voting phase. Selected Trivia Contestant’s opportunity to answer the trivia question may or may not result in his/her Video being broadcast during Show (at Sponsor’s sole discretion). Immediately after Trivia Contestant answers his/her trivia question on the telephone, he/she will be notified of he/she is a potential winner of a Trivia Game Cash Prize (subject to subsequent written verification). 6. Semi-Finalist and Finalist Contestant Notification and Requirements: On or about 9:01 a.m. (ET) October 1, 2008, potential semi-finalists will be called at the telephone number furnished by his/her Entry and notified that he/she is a potential Semi-Finalist, that his/her Video or a portion thereof, may be uploaded on to the Web Site for viewer public voting. All Semi-Finalists will be required to complete to execute an Affidavit of Eligibility, a Liability Release, (where legal) a Publicity Release, an IRS Form W-9, and any other documentation Sponsor may require (collectively “Affidavit/Release”), which, among other functions, releases Contest Entities from any and all liability in the event that he/she is chosen as a Finalist and travels to compete for the Dance Your Heart Out grand prize. The Affidavit/Release must be signed and faxed to Contest administrator, along with a legible copy of potential Semi-Finalist’s government issued photo I.D., within eight (8) hours of receipt for the purposes of booking travel in the event that he/she is selected as a Finalist. If Finalist is a resident of a jurisdiction that deems him/her to be a minor he/she must travel with his/her parent/legal guardian who will be required to execute a Liability and (where legal) Publicity Release (“Travel Guest Release”) and fax along with a legible copy of his/her current government issues photo I.D. within eight (8) hours of receipt to Contest administrator. A faxed Affidavit/Release and Travel Guest Release will have the same force as the original. In the event that a Semi-Finalist is selected as a Finalist, he/she will then be required to return the notarized original Affidavit/Release, IRS Form W-9, Travel Guest Release (if applicable) and legible copies of Finalist’s and guest’s (if applicable) current government issues photo I.D.’s using the provided pre-paid FedEx envelope provided within five (5) days of receipt, or such potential Finalist will be disqualified. By faxing and returning the completed Affidavit/Release, potential Finalist(s) attests to the authenticity of his/her Entry. If a potential Semi-Finalist or Finalist does not meet all of the above requirements, he/she may be disqualified and the Entrant whose eligible Entry received the next highest Total Score/number of votes may be declared the potential Semi-Finalist or Finalist, subject to verification and compliance with these Contest Official Rules. A Finalist's appearance may not actually appear in the final version of the Show; decision is subject to producer’s requirements and sole discretion. Sponsor is not responsible or liable for cancellation or preemption of Show airing Finalists and winner. Each Finalist will be contacted on or about October 2, 2008 by a Show representative who will arrange travel for Finalist (and guest if Finalist is a minor). If a Finalist lives over 100 miles of New York City, coach class air or rail travel along with hotel arrangements (standard room, single or double occupancy) will be made. If a Finalist resides within 100 miles of New York City, other ground transportation will be arranged to/from Finalist residence and the taping of the Show. FINALIST AND GUEST (IF APPLICABLE) MUST BE AVAILABLE TO TRAVEL ON OR ABOUT OCTOBER 4, 2008 THROUGH ON OR ABOUT OCTOBER 7, 2008 (OR ON OTHER DATES AND TIMES SPECIFIED BY SPONSOR AT ITS SOLE DISCRETION), OR FINALIST WILL BE DISQUALIFIED AND THE SEMI-FINALIST WHO RECEIVED THE NEXT HIGHEST NUMBER OF VOTES MAY BE SELECTED AT SPONSOR’S SOLE DISCRETION. EACH FINALIST MUST COMPETE ON THE DATE/TIME SPONSOR HAS DESIGNATED FOR THE TAPING OF THE SHOW CURRENTLY SCHEDULED FOR OCTOBER 6, 2008. Finalists are required to dance his/her A Go-Go Dance in front of the “Dance Your Heart Out” Judges (as designated by the Sponsor). All travel arrangements are made by the Show’s representative in their sole discretion. No substitution, transfer, or cash equivalent for the Finalist travel opportunity (or a component) is allowed. Sponsor will not replace any lost or stolen tickets, passes, travel vouchers or certificates. Each Finalist and guest (if applicable) assumes all risks and liabilities arising from participation in this Contest and/or acceptance of any travel offered. 7. Prizes: Up to twenty (20) Trivia Game Cash Prizes: Up to one (1) cash prize for each air date of the Contest (as described by Official Rules). The value of each day’s cash prize starts at $10,000 and rolls over to the next broadcast if Trivia Contestant does not answer the trivia question correctly. The cash rollover (in $10,000 increments) will continue until a Trivia Contestant answers the trivia question correctly and wins either a minimum of $10,000 or the rollover amount for that particular day to a maximum of $200,000 (“Trivia Game Cash Prize”). An incorrect answer will not result in a prize of any kind. For example, if a Trivia Contestant participates for a chance to win a $10,000 Trivia Game Cash Prize, but does not answer the Trivia Question correctly, the next day’s Trivia Contestant will have a chance to win a $20,000 Trivia Game Cash Prize. All prizes will be paid by check made out to the name of the Trivia Contestant Cash Prize winner (or his/her parent legal guardian if he/she is a minor in his/her state jurisdiction). Approximate Retail Value (“ARV”) of each Trivia Game Cash Prize: $10,000 - $200,000. Four (4) “Dance Your Heart Out” Finalist Cash Prizes: Each Finalist who competed for the “Dance Your Heart Out” grand prize at the Show (but were not deemed the “Dance Your Heart Out” grand prize winner) will receive a cash prize in the amount of $5,000 awarded in the form of a check made out to the name of the “Dance Your Heart Out” Finalist cash prize winner (or his/her parent legal guardian if he/she is a minor in his/her state jurisdiction) (“Finalist Prize”). ARV of each Finalist Prize is $5,000. One (1) “Dance Your Heart Out” Grand Prize: Grand prize winner will receive a cash award of $50,000 awarded in the form of a check written in the name of the grand prize winner (or his/her parent legal guardian if he/she is a minor in his/her state jurisdiction) (“Grand Prize”). ARV of the Grand Prize is $50,000. Limit one (1) Trivia Game Cash Prize per person/per household and limit one (1) Finalist Prize per person/family/household. If a potential Trivia Contestant, Finalist or Grand Prize winner is a resident of a jurisdiction that deems him/her to be a minor, his/her applicable prize may be awarded in the name of his/her parent/legal guardian. Prize notifications will be shipped to U.S. addresses only. All applicable federal, state, or other taxes are the sole responsibility of each Finalist. Trivia Contestants who won a prize valued over $600, Finalists and Grand Prize winner will each receive a 1099 form from the Sponsor for the total ARV, as stated herein, of his/her prize that he/she won for the calendar year that he/she won. Any depiction of a prize or prize elements is for illustrative purposes only. 8. General Conditions: The Contest is subject to all applicable federal, state, local and provincial laws, and to these Official Rules (collectively “Rules and Laws”). By participating, Entrants agree to be bound by these Rules and Laws and the decisions of the Sponsor/Contest administrator, which are final and binding in all respects; to waive any right to claim ambiguity with the Rules and Laws; to indemnify and hold harmless the Contest Entities from any and all liability resulting or arising from the Contest; to release all right to bring any claim, action, or proceeding against the Contest Entities. Sponsor has the right to modify, use, assign and/or dispose of Entries and Videos however they see fit and for any purpose without any notice or compensation to Entrant or any third parties. However, Sponsor will not provide any personally identifying information of a minor, regardless of its source, to any third party without the express written consent of Entrant’s parent/legal guardian. If, for any reason, Contest is not capable of running as originally planned, Sponsor at its sole discretion, reserves the right to cancel, suspend or modify Contest or any portion(s) thereof and instruct the Contest administrator or Judges to conduct the judging and award the prize(s) from all salvageable eligible Entries received (or Semi-Finalists and Finalists) prior to and/or after (as appropriate) the action taken by Sponsor, or award the prize(s) in a manner that is fair and equitable. Sponsor reserves the right, at their sole discretion, to disqualify any individual found to be tampering with the Entry process or the operation of the Contest; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with this Contest will be ineligible for a prize and may be prosecuted to the full extent of the law. In case of a dispute over the identity of an Entrant who submitted a winning Online Entry, the person appearing in the Video; the person who fulfills the obligations set forth above that define “Entrant”; and who is the authorized account holder of the email address associated with that Online Entry will be deemed the Entrant. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Said owner must comply with these Official Rules and, at Sponsor's sole discretion, may be required to provide proof of ownership of the email account. 9. Disclaimers: Contest Entities are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for Entries that are illegible, late, tampered with, forged, incomplete, misdirected, postage due, deleted, damaged, lost, misplaced, stolen, destroyed, or otherwise not in compliance with these Official Rules and such Entries will be disqualified. Once submitted, Entries become the sole property of Sponsor and will not be returned. Contest Entities are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of Entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Each winner releases Contest Entities and their respective agencies, officers, directors and employees or other company or any other persons providing a prize for a Trivia Contestant, Finalist or Grand Prize winner due to reasons beyond Sponsor and/or Contest Entities control, and/or participation in this Contest from any and all liability/responsibility with respect to prize(s) and/or Contest (including any property loss, damage, personal injury, or death) in connection with: participation in this Contest (as well as claims based on publicity rights, defamation, and/or invasion of privacy); human error; incorrect or inaccurate transcription of Entry information; acceptance/possession, use/misuse, and/or defects of a prize awarded, herein; including but not limited to, (or travel to/from participation at the Show; use or misuse of the Finalist travel opportunity herein (including, but not limited to, cancellations and delays or any change by the air carrier(s) or other company or any other persons providing any service for a Finalist or winner and his/her guest (if applicable) during the travel period due to reasons beyond control of Sponsor and/or the Contest Entities); any technical malfunctions of the telephone network, computer online system, Video upload system, vote tallying or mechanisms, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access Contest or any Web Site or online service via the internet due to hardware or software compatibility problems; any damage to Entrants (or any third person’s) computer and/or its contents related to or resulting from any part of this Contest; any lost/delayed data transmissions, omissions, interruptions, defects or any other errors or malfunctions of Show, promos, or elements of Contest and/or even if caused by the negligence of one of the Contest Entities. Entrants further agree to indemnify and hold harmless the Contest Entities from any and all liability resulting or arising from the Contest, to release all rights to bring any claim, action or proceeding against the Contest Entities, and hereby acknowledge that said Contest Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a prize, travel, and/or participation on Show. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor(s) (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules. 10. Grant of Rights: Each Entrant unconditionally assigns and transfers all rights, title, interest, claim, ideas, concepts, copyrighted materials and trademarks contained in the Entry and any and all rights including “moral rights” in the Entry to the Sponsor. Entrant unconditionally assigns and transfers to Sponsor all rights, title, interest, and claim, which he or she now has, or may in the future have to his/her Entry. Sponsor has the right to use, assign, modify, edit, adapt, dispose of, and electronically alter any Entry, for any legal purpose including, but not limited to, moral rights, for use in the Show, a particular broadcast, promotional and/or commercial materials, on the Web Site for viewer public voting, as well as to reproduce any Entry/Video, in whole or in part, without compensation or additional consent from an Entrant, or any other third party. 11. Publicity Release: Notwithstanding anything to the contrary in Sponsor’s Privacy Policy located at http://www.liveregisandkelly.com.except where prohibited by law, participation in the Contest and/or acceptance of a prize constitutes permission for Sponsor to use, without notice or further compensation, in all media currently know or hereafter devised, worldwide and in perpetuity, any and all portions of an Entry including, without limitation, the Entrant’s Video, name, address (city and state), photo, likeness, biographical information, statement and voice for any purpose including, without limitation, advertising and promotional purposes as well as in, on or in connection with Live with Regis and Kelly, the Web Site, the Contest, or other promotions, and a release of the Contest Entities from any liability whatsoever with respect thereto. 12. GOVERNING LAW, JURISDICTION, ARBITRATION: Any controversy or claim arising out of or relating to (i) the Contest, (ii) the awarding or redemption of a prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation shall be governed by and construed in accordance with the substantive laws of the State of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability or interpretation shall be submitted to final and binding arbitration, to be held in Los Angeles County, California, before a single arbitrator, in accordance with California Code of Civil Procedure §§ 1280 et seq. The arbitrator shall be selected by mutual agreement of Sponsors and the Entrant or Entrants bringing forth the controversy or claim (collectively, the “Parties”) or, if the Parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute. The arbitration shall be a confidential proceeding, closed to the general public. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator’s award is based. The Parties will share equally in payment of the arbitrator’s fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys’ fees and other expenses to the same extent as if the matter were being heard in court). Entrant agrees that his/her claim will be resolved individually, exclusively by arbitration, without resort to any form of class action. Entrant further agrees that any claim/judgment/award in such arbitration shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Contest but in no event attorneys' fees; and, under no circumstances, will an Entrant be entitled to awards for and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or increased. Should any term of this Section be deemed void, unenforceable or contrary to law, such term shall, but only to the extent necessary to bring this Section within the requirements of law, be deemed to be severed from the other terms of these Official Rules, and the remainder of these Official Rules shall be given effect as if it had not included the severed term herein. THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF. Each Entrant understands and agrees that he/she shall have no right to enjoin or restrain the development, production, advertising, promotion, distribution or exploitation of the Contest, the Show, any of an Entrant’s live or taped performances, or any other movie, production or project of Sponsor or any of its parents, subsidiaries or affiliates. 13.
